TICKET.UG TERMS AND CONDITIONS

These Terms of Use are to be read alongside our Website Terms and Community Guidelines. When we mention "Loft Technologies" in these terms, we are referring to Loft Technologies, its affiliates, subsidiaries, and each entity’s officers, directors, agents, partners, and employees.

1. Listings

  • You can utilize the Loft Technologies platform to promote your events, fundraising campaigns, or subscription offers.
  • You are obligated to list only genuine events, fundraisers, and subscription offers. Deceptive or misleading information is strictly prohibited, and your event, fundraiser, or subscription must comply with all relevant laws and regulations and adhere to these terms. By posting a listing on the platform, you guarantee that
    1. you have the proper authorization to promote the event, fundraiser, or subscription,
    2. you are not infringing on any intellectual property or other rights, and
    3. you are acting in compliance with all applicable laws. You will be liable for any losses we incur due to any incorrect warranties

2. Our Role

  • When selling event tickets or seeking contributions for fundraising campaigns or subscription plans, your contract is with the consumer, not Loft Technologies.
  • Loft Technologies serves as your limited payment agent, responsible for collecting payments from consumers on your behalf and transferring these payments to you or the designated beneficiary. You authorize us to collect, hold, disburse, and retain proceeds on your behalf. We may also issue refunds where warranted and, for events, facilitate ticket transfers or upgrades (if this feature is enabled). Loft Technologies assumes no liability for any actions or omissions on your part.

3. What We Charge

  • Creating an account, listing events, fundraisers, or subscriptions, and accessing the platform are free. However, we charge fees for payment processing on your behalf. These fees may vary based on individual agreements between organizers and Loft Technologies. Our fees generally consist of a percentage-based commission and a fixed fee per item. Organizers decide whether these fees are borne by consumers and displayed as fees on the booking page or included in the ticket, donation, or subscription price and paid by the organizer from gross proceeds.
  • Our fees are subject to change and may vary based on factors such as product type, price, location, payment method, and currency. You can find our current fee structure on the Loft Technologies website in the relevant product section. Please note that the Booking Fee is always non-refundable, even if a consumer receives a refund.  

4. Payments

  • Your Loft Technologies account will reflect the balance of amounts collected on your behalf. This balance represents a general unsecured claim against Loft Technologies, not a store of value or deposit/current account.
  • We aim to disburse collected amounts as follows:
  1. For subscription proceeds, on a weekly basis
  2. For fundraisers, either on a weekly basis or on a specified date (depending on your choice)
  3. For events, within 3 business days after the event concludes 
  • Payments will only be made to you once we have received full payment from a consumer. In cases where transaction proceeds are collected through a third-party ticket vendor, we may withhold funds until the vendor has settled amounts owed to us. If you or your third-party payment provider directly collect proceeds from consumers, you must pay our fee within 3 business days of the event's conclusion or, in the case of subscriptions and fundraisers, within 3 business days of contribution collection from the consumer.

5. Refunds

  • All transactions are solely between you and the consumer. You are responsible for managing all refund requests from consumers. Your refund policy must be fair, reasonable, and compliant with applicable laws, you grant Loft Technologies the authority to decide, at our discretion, whether a consumer should be refunded. If we believe a consumer should be refunded, we may issue the refund on your behalf. You do not have the right to demand payment for amounts we have refunded to a customer unless we have acted with gross negligence or willful misconduct.
  • In the event of an event cancellation or perceived risk of cancellation or non-performance, facilitated transactions via Loft Technologies' payment processing partners may result in refunds to consumers (excluding our fee). For integrated third-party payment methods, where you hold ticket proceeds, you are responsible for processing consumer refunds. You must reimburse Loft Technologies for any losses incurred due to chargebacks or refund claims related to your event. Failure to comply with legal obligations to consumers may result in reputational losses and associated expenses, for which you will be liable.

6. Hiring Equipment

  • You have the option to rent specific equipment from us for your event. If you require equipment to be couriered, additional costs will apply. You are responsible for repairing or replacing damaged, lost, or stolen equipment. Loft Technologies may withhold payment until equipment has been returned in good working condition, and rental fees may be deducted from amounts owed to you.

7. Promotional Tools and Networks

  • Loft Technologies offers various promotional tools, which must be used in compliance with our Privacy Policy. Any misuse, including malicious or illegal use, data privacy violations, mass marketing, spamming, or selling data, may result in account suspension.  
  • You can invite individuals to promote your event, determining the promoter's commission deducted from proceeds we pay to you. We track promoter transactions using cookies, valid for 30 days from the time of set. Transactions outside this period are not linked to the promoter, and commission is not applicable. Commission payments to promoters will be made within 3 business days after the event, subscription, or fundraiser ends, with the total amount deducted from your final balance. If you hold ticket proceeds, you are responsible for paying commission directly to promoters. Failure to do so will result in liability for any losses incurred by Loft Technologies.
  • Loft Technologies may remove individuals from a promoter network, resulting in the forfeiture of any commission, if suspected of cheating, spamming, engaging in unfair or illegal sales practices, or attempting to manipulate the platform adversely.  

8. Disclaimer, and Assumption of Risks by You

  • You are solely responsible for delivering event or subscription products or services and properly applying donations. Payments processed by us on your behalf are considered equivalent to direct consumer payments, and you must fulfill your obligations as listed on the platform.
  • Loft Technologies will not be held liable for indirect, special, or consequential losses arising from platform or service usage. "Force Majeure" events, beyond Loft Technologies' reasonable control, may result in delays or failures to fulfill obligations without liability.
  • We may request consumers to deal directly with organizers to resolve complaints. Failure to address consumer complaints adequately may result in legal actions to resolve them. You are expected to respect consumer protection and may be liable for any losses incurred by Loft Technologies due to your failure to fulfill your responsibilities to consumers or properly handle consumer complaints.
